1. Acceptance of Terms

By accessing or using cloudeflip.com, our mobile applications, or any associated services (collectively, the "Platform"), you agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and CloudeFlip ("we," "us," "our"). If you do not agree, discontinue use immediately.

2. Nature of Service

2.1 Platform Role — CloudeFlip is a technology marketplace that connects customers who need services or want to sell items with independent professionals and buyers. CloudeFlip does not provide services directly, does not employ any professionals, and is not responsible for the quality of work performed.

2.2 Independent Professionals — All professionals ("Pros") on the platform are independent contractors. They set their own schedules, use their own tools, and are solely responsible for the quality and legality of their work.

2.3 Lead Marketplace — CloudeFlip operates as a lead generation marketplace. Customers pay to post projects/listings. Pros pay to unlock leads (contact information). CloudeFlip does not guarantee any transaction will result in a completed job or sale.

3. Accounts & Registration

3.1 Eligibility — You must be at least 18 years old and capable of forming a binding contract.

3.2 Account Types — Customer accounts (post projects, sell items) and Pro accounts (unlock leads, take jobs).

3.3 Activation Fee — A one-time $50 activation fee is required to verify account authenticity and prevent spam.

3.4 Accuracy — You agree to provide accurate information. Fake listings, fake reviews, or misrepresentation will result in immediate account suspension.

4. Payments & Fees

4.1 Customer Fees — Customers pay a posting fee for each listing or project. Fees are non-refundable once posted.

4.2 Pro Fees — Pros pay per-lead to unlock contact information. Lead fees are non-refundable once unlocked.

4.3 Payment Processing — All payments are processed by Stripe, Inc. CloudeFlip does not store credit card data.

4.4 No Guarantees — Paying to post a listing does not guarantee a buyer. Paying to unlock a lead does not guarantee a job. CloudeFlip facilitates connections only.

5. Identity Verification & Fraud Prevention

5.1 Identity Verification Required — All users who post loads, request deliveries, or make payments exceeding $100 must complete identity verification through our third-party provider (Stripe Identity). This includes uploading a government-issued photo ID and a live selfie. By using CloudeFlip, you consent to this verification process.

5.2 Biometric Consent — Identity verification involves facial comparison technology to match your selfie to your ID photo. By proceeding with verification, you explicitly consent to the collection and processing of biometric data for fraud prevention purposes. This data is processed by Stripe, Inc. and is not stored by CloudeFlip beyond the verification result.

5.3 Pre-Payment Required — All services on CloudeFlip require full payment BEFORE any driver is dispatched or professional is assigned. No work begins until payment clears. This protects both parties.

5.4 Chargeback & Dispute Policy — By completing payment on CloudeFlip, you acknowledge that:

  • You are the authorized cardholder or have explicit permission from the cardholder.
  • Your identity has been verified via Stripe Identity (photo ID + live selfie match).
  • Your payment was authenticated via 3D Secure (bank-level verification: SMS code, fingerprint, or app confirmation).
  • Once a delivery is confirmed via GPS verification + delivery code + photo proof, the service is considered rendered and payment is final.
  • Filing a fraudulent chargeback after confirmed delivery constitutes theft of services and may result in: immediate account termination, reporting to fraud databases, collections action, and legal proceedings.

5.5 Evidence of Service — CloudeFlip maintains comprehensive proof of every completed delivery including: verified identity of the payer (Stripe Identity), 3D Secure bank authentication records, GPS coordinates at pickup and delivery (timestamped), photo proof of pickup condition and delivery placement, 6-digit delivery code confirmation (entered by receiver), real-time GPS tracking throughout transit, and driver identity verification. This evidence is provided to payment processors and banks in the event of any dispute.

5.6 Legitimate Disputes — For deliveries: there are NO post-delivery disputes once the code is verified. All issues must be resolved at the time of delivery, before the code is given. For non-delivery services: if you have a genuine issue, report it through CloudeFlip's in-app system within 24 hours. We will review GPS data, photos, and delivery confirmation to resolve fairly. Do NOT file a bank chargeback — use our system first. Chargebacks filed without first using our system will be contested with full evidence.

5.7 Refund Policy — Refunds are issued at CloudeFlip's sole discretion after investigation. If our evidence shows the service was completed as described (GPS confirms delivery location, photos confirm condition, code confirms receipt), no refund will be issued regardless of the claim.

6. Delivery & Shipping Services

6.1 Service Model — CloudeFlip connects customers who need items shipped with independent delivery drivers ("Carriers"). CloudeFlip is not a carrier and does not transport goods. Carriers are independent contractors operating under their own authority.

6.2 Delivery Code = Acceptance & Completion — Each delivery is assigned a unique 6-digit verification code. This code is the customer's legal sign-off on the delivery. By providing the code to the driver, the customer confirms:

  • They (or their authorized receiver) have inspected the load at dropoff.
  • The cargo is in acceptable condition.
  • The delivery is complete and accepted.
  • The driver is released from further responsibility for this shipment.

Once the driver enters the correct code, the delivery is automatically marked COMPLETED, the driver's payout begins its 7-day hold period, and no disputes, claims, or complaints can be filed after this point. The code IS the signature. There is no separate "Mark Complete" step.

6.3 Pickup Responsibility — Driver — At pickup, the driver must:

  • Inspect the cargo visually before loading.
  • Take photos of the cargo condition before loading.
  • Verify the load matches the posting (quantity, type, dimensions).
  • If anything looks damaged, wrong, or doesn't match — report it immediately through the app before loading.
  • By loading the cargo, the driver accepts responsibility for it in its current condition until delivery.

6.4 Dropoff Responsibility — Customer/Receiver — At dropoff, the customer or authorized receiver must:

  • Inspect the cargo BEFORE giving the driver the delivery code.
  • Check quantity, condition, and that nothing is damaged or missing.
  • If something is wrong — DO NOT give the code. Resolve it on the spot with the driver.
  • Take photos of any damage. Have the driver acknowledge it. Contact the shipper if needed.
  • Once you give the code, you have accepted the delivery as-is. No claims after.

6.5 No Disputes After Code — The delivery code system eliminates post-delivery disputes. Both parties must resolve any issues AT THE TIME OF DELIVERY:

  • Something wrong? Don't give the code. Talk to the driver now.
  • Damage found? Take photos now. Have driver sign/acknowledge now.
  • Missing items? Count and verify now. Contact shipper now.
  • Need shipper involved? Call them now. The driver waits (within wait time limits).
  • Once code is given = everything is accepted = delivery is final.

6.6 Dropoff Instructions & Receiver Responsibility

  • "I'll be there to receive it" — Customer must be present at dropoff. If not present within 30 minutes (60 minutes for full truck), driver may leave with the load. Customer is responsible for rebooking and return costs.
  • "Leave at door / loading dock" — Driver places the shipment at the specified location and takes a photo as proof of delivery. Once photo is taken, delivery is complete. CloudeFlip is not liable for theft or damage after placement.
  • "Give to specific person" — The named person must provide the 6-digit delivery code to the driver. If that person is not present or does not have the code within 30 minutes, the driver may leave with the load.
  • "Signature required" — An authorized person must sign at delivery. If no one is available to sign within 30 minutes (60 minutes for full truck), the driver may leave with the load. Customer pays return/reship costs.
  • "Code only — no signature needed" — Any person at the dropoff location who provides the correct 6-digit code may receive the shipment. No signature required.

6.7 Driver Retains Load — If no receiver is present, no delivery instructions were provided, no code is given, and the customer is unreachable, the driver retains possession of the load until the situation is resolved. The customer is responsible for any return trip or re-delivery costs at the posted rate.

6.8 Wait Time Fees — Drivers wait up to 60 minutes at pickup at no additional charge. After 60 minutes, a wait fee applies (rate set in platform settings, currently $100/hour). At dropoff, the free wait time is 30 minutes for shared loads and 60 minutes for full truck/exclusive loads.

6.9 TONU (Truck Ordered Not Used) — If a customer cancels after a driver has been dispatched and is en route, a cancellation fee of 25–50% of the original load rate applies. Once a driver has loaded cargo, cancellation is not permitted.

6.10 Load Accuracy & Mismatch Policy — Customers must provide accurate information about cargo type, weight, quantity, and dimensions. Customers are shown standard pallet sizes, vehicle capacity limits, and dimension guidelines during booking.

  • If driver arrives and load doesn't match posting (more items, heavier, larger, or won't fit the matched vehicle), the driver is paid in full for the trip regardless of whether they can complete the delivery.
  • If the load partially fits — driver takes what was originally posted and leaves the rest. Customer must book a new delivery for the remainder at their own cost.
  • If load is completely incompatible (e.g., posted for van but needs a semi) — driver gets full trip pay as a TONU (Truck Ordered Not Used). Customer must rebook with the correct truck size.
  • Repeated mismatch violations — 1st offense: warning + pays driver. 2nd offense: warning + pays driver + $50 platform fee. 3rd offense: account suspended.

Standard pallet dimensions are 48" × 40". Vehicle capacities: Cargo Van ≤ 1,000 lbs (max height 55"), 16ft Box Truck ≤ 5,000 lbs (max height 84"), 26ft Box Truck ≤ 26,000 lbs (max height 96"), Semi 26,000+ lbs (max height 110"). Customers who exceed posted dimensions or weight by more than 20% are subject to mismatch penalties.

6.11 GPS Verification — Drivers must be physically present within 1 mile of pickup/dropoff locations to confirm arrival. GPS coordinates are recorded at acceptance, pickup, and delivery as proof of service. Attempting to falsify location is grounds for immediate account termination.

6.12 Insurance & Liability — All delivery drivers and carriers on CloudeFlip must maintain active commercial insurance meeting the following minimum requirements:

  • Commercial Automobile Liability — $1,000,000 combined single limit minimum
  • Motor Truck Cargo / Inland Marine — $100,000 minimum (max $1,000 deductible)
  • Radius — Unlimited or 500+ miles
  • Additional Insured — CloudeFlip Inc must be listed as an additional insured party on the Certificate of Insurance (COI)

These requirements apply to all vehicle types including sedans, vans, box trucks, and semi trucks. Sedan and car couriers may obtain commercial coverage as a Sole Proprietor through providers such as Progressive Commercial or Next Insurance under business type "Courier" or "Delivery Services."

Drivers who fail to maintain these minimums will be suspended from receiving loads. Insurance must remain active and unexpired at all times. CloudeFlip may verify insurance status at any time. The declared item value determines maximum liability. CloudeFlip is not liable for damage exceeding the carrier's insurance coverage.

6.13 Refrigerated Loads — Drivers who register as refrigerated carriers accept full responsibility for maintaining correct cargo temperature throughout the entire trip. Standard temperatures: 34°F–40°F for fresh goods, -10°F to 0°F for frozen goods (unless customer specifies otherwise). Drivers must inspect their reefer unit before every trip. If cargo is damaged due to temperature failure caused by driver neglect (failure to fuel, maintain, or monitor the unit), the driver and their insurance are fully liable for the value of the damaged cargo. Reefer unit breakdown due to lack of maintenance is considered driver negligence.

6.14 Driver Vehicle Accuracy — Drivers confirm their vehicle meets minimum cargo area and payload requirements during onboarding. If a driver arrives at pickup with a vehicle smaller than what they confirmed at signup:

  • Driver forfeits trip payment — no compensation for the trip.
  • Customer receives a full refund and is rebooked with a new driver at no extra cost.
  • Driver receives a strike. 3 strikes = account suspended.
  • Repeated vehicle misrepresentation (2+ times) = immediate account termination.

By confirming vehicle specs during onboarding, drivers accept full responsibility for ensuring their vehicle can accommodate loads assigned to their vehicle class. "I didn't know" is not a valid excuse after confirmation.

6.15 Prohibited Shipments — Illegal items, undeclared hazardous materials, live animals (unless specifically arranged), and items exceeding declared weight/dimensions by more than 20% are prohibited. Violations result in immediate account termination.

6.16 Driver Safety Equipment & Load Securement — Drivers must maintain proper Personal Protective Equipment (PPE) and load securement tools in their vehicle at all times. Required PPE includes: high-visibility safety vest, steel-toe boots, work gloves, hard hat, safety glasses, hearing protection, fire extinguisher (FMCSA required), first aid kit, and 3 emergency reflective triangles. Required load securement equipment includes: ratchet straps, corner/edge protectors, moving blankets, and friction mats. Many pickup and delivery facilities will deny entry without proper PPE. If a driver is denied facility access due to missing safety equipment, it is treated as a driver no-show and the driver forfeits trip payment. Drivers must use corner/edge protectors when strapping pallets or boxes to prevent crush damage. Cargo damage caused by improper securement (over-tightened straps without protectors, unsecured shifting loads) is the driver's liability.

6.17 Liftgate, Loading Equipment & Driver Assistance — During booking, customers must select whether they need a liftgate-equipped truck. This selection is mandatory for pallets, heavy equipment, and large items.

  • Liftgate selected (Yes) — The load will only be matched with drivers whose trucks have a hydraulic liftgate. An additional fee of $20 per pallet/item applies. The driver will lower items to ground level at both pickup and dropoff.
  • Liftgate not selected (No) — Customer confirms they have a loading dock, forklift, or other equipment at both pickup and dropoff locations, OR will handle loading/unloading themselves. If the driver arrives and cannot load/unload because no dock or equipment is available, it is treated as a load mismatch — driver is paid in full and customer must rebook.
  • Driver loads & unloads (Yes) — Customer has paid for the driver (and helper if needed) to physically load and unload the cargo. For moving jobs, this includes a team of movers. Drivers can see this before accepting and should bring appropriate help.
  • Driver loads & unloads (No) — Customer or sender/receiver handles all physical loading and unloading. Driver only transports. If no one is available to load at pickup, wait time fees apply after 60 minutes.
  • Items over 300 lbs — Items exceeding 300 lbs that cannot be moved by two people require mechanical equipment (forklift, crane, pallet jack). Customer must arrange this at both ends. "I didn't know it was that heavy" is not a valid excuse — weight is declared during booking.

Customers acknowledge they have read and understood the liftgate and loading requirements during booking. The platform requires explicit selection (Yes/No) before checkout — failure to select is not possible. Selecting "No" when a liftgate is actually needed is the customer's responsibility and will result in a failed pickup with full driver payment.

6.18 Transloading, On-Site Helpers & Unloading Fees — Freight shipments often require equipment or labor at the dropoff location that differs from what was available at pickup. Customers must understand and accept the following:

  • Transloading (Cross-Dock) Stations — If the dropoff location (home, office, job site) cannot receive heavy cargo directly from the driver's vehicle, the shipment may need to be routed through a transloading or cross-dock facility. At these facilities, cargo is transferred from the long-haul vehicle to a local delivery truck equipped for final-mile delivery (liftgate, smaller vehicle for residential streets, etc.). The customer is responsible for all transloading facility fees.
  • On-Site Helpers — If cargo requires manual unloading by multiple people (e.g., items over 150 lbs, no forklift/dock at dropoff), the driver may arrange local helpers at the customer's expense. The driver will communicate the estimated helper cost before unloading begins. If the customer refuses, the load remains on the truck and redelivery/storage fees apply.
  • Driver-Quoted Unloading Fee — When a driver arrives at dropoff and determines that additional labor or equipment is needed beyond what was booked, the driver may quote an unloading fee (e.g., $200–$500+ depending on cargo weight, number of helpers needed, and local labor rates). The customer may accept or refuse. Refusal means the driver retains full delivery payment and the customer must arrange their own unloading or rebook with proper requirements.
  • Pickup Had Equipment, Dropoff Does Not — It is common for commercial pickups to have forklifts, loading docks, or pallet jacks while residential/office dropoffs do not. Customers must plan for this asymmetry during booking. "I didn't know my house doesn't have a forklift" is not a valid dispute reason.
  • High-Value & Fragile Cargo — Items of significant value (furniture, countertops, machinery, electronics) that require specialized handling are shipped at the customer's risk if proper unloading equipment/labor is not arranged. If damage occurs because the customer refused to pay for proper unloading (helpers, equipment, transload facility), CloudeFlip and the driver bear no liability.
  • Driver Not Liable for Unloading Injuries — Drivers are independent contractors, not laborers. If a customer pressures a driver to manually unload cargo beyond safe human handling limits (over 150 lbs per person) and injury or damage occurs, the customer assumes full liability. Drivers have the right to refuse unsafe unloading.

By booking a delivery, customers acknowledge that pickup and dropoff conditions may differ, and that additional fees for helpers, equipment, or transloading are their responsibility. CloudeFlip facilitates the connection — we do not provide labor, forklifts, or transloading services directly.

6.19 Delivery Appointment Times & Hold Fees — Customers may request specific pickup and delivery times during booking. The following rules apply:

  • Pickup Time — Customers may specify when the driver should arrive for pickup. The driver uses this to plan their route. No additional fee applies for pickup time selection.
  • Delivery Time (No Hold) — If the customer selects "deliver when you arrive" or does not require a specific delivery time, no hold fee applies. The driver delivers upon arrival at the dropoff location.
  • Delivery Time (Hold Required) — If the customer specifies a delivery time that is later than when the driver could reasonably arrive (based on distance and drive time), a hold fee applies. The driver's vehicle is being used as temporary storage and the driver cannot accept other loads during this time.

Hold Fee Schedule:

  • No hold (deliver when you arrive) — $0
  • Hold 1–4 hours — $100
  • Hold 5–12 hours — $200
  • Hold 12–24 hours — $350
  • Hold 24–48 hours — $500
  • Each additional day beyond 48 hours — +$250/day

Distance Reduction: Hold fees are reduced based on trip distance because longer trips already compensate the driver adequately:

  • Under 300 miles — full hold fee applies
  • 300–800 miles — 50% of hold fee
  • Over 800 miles — no hold fee (driver already earning sufficient mileage pay)

Hold time is calculated as the difference between the estimated arrival time (based on route distance at average speed) and the customer's requested delivery time. This fee is shown to the customer during booking before checkout.

  • Example (short trip) — Driver picks up a load 150 miles away. Could deliver by 12:00 PM. Customer says "deliver tomorrow at 8:00 AM" — that's a 20-hour hold. Under 300 miles = full fee = $350.
  • Example (mid trip) — 500-mile delivery. 12-hour hold requested. Base fee $350 × 50% = $175.
  • Example (long trip) — Houston to San Mateo (2000 miles). Customer requests next-day delivery. Over 800 miles = $0 hold fee. Driver is already earning on mileage.
  • Wait Time vs Hold Time — Hold fee is for scheduled delays chosen by the customer during booking. Wait time ($100/hour) is a separate penalty that applies when the driver arrives at the agreed time and the customer/receiver is not ready, dock is occupied, or access is denied. Both may apply on the same delivery.
  • Driver Visibility — Drivers see the pickup time, delivery time, and hold fee (if any) before accepting a load. This allows drivers to decide if the schedule works with their other commitments.
  • No Early Delivery Without Permission — If a customer has set a specific delivery time, the driver may not deliver early without customer approval. Arriving early and demanding unloading is not permitted.

By setting a specific delivery time that creates a hold period, the customer acknowledges they are paying for the driver's time and vehicle availability during that window. Cancellation of a held delivery after pickup results in full delivery payment plus hold fees owed to the driver.

6.20 Regional Fuel Adjustment — Delivery pricing on CloudeFlip is automatically adjusted based on fuel costs in the pickup and dropoff regions. Fuel prices vary significantly by state (e.g., California vs. Texas), and this adjustment ensures fair pricing for both customers and drivers.

  • How it works — Each state is assigned a fuel cost tier (Low, Medium, or High). The per-mile rate is multiplied by a route factor based on the average of the pickup and dropoff state tiers.
  • Low-cost states (TX, OK, AR, MS, AL, LA, MO, KS, SC, TN, etc.) — 0.85x multiplier (15% below base rate)
  • Medium-cost states (IL, OH, FL, GA, NC, VA, PA, NY, MI, IN, etc.) — 1.0x multiplier (base rate)
  • High-cost states (CA, WA, OR, NV, HI, AZ, UT, CO) — 1.15x multiplier (15% above base rate)
  • Cross-state routes — The multiplier is the average of both states. Example: Texas (0.85) to California (1.15) = 1.0x (base rate). California to California = 1.15x. Texas to Texas = 0.85x.
  • Transparency — The adjusted price is shown to the customer at booking before checkout. Drivers see the final rate before accepting. No hidden surcharges are added after booking.
  • Rate updates — CloudeFlip may update state tier assignments periodically based on national fuel price data. Changes apply only to new bookings, not existing ones.

6.21 Declared Value & Cargo Insurance Matching — Customers must declare the approximate value of their shipment during booking. This value determines which drivers are eligible to transport the load based on their cargo insurance coverage.

  • Standard coverage — All drivers on CloudeFlip are required to carry a minimum of $100,000 in cargo insurance. Loads declared at $100,000 or below are matched with any eligible driver at no additional insurance fee.
  • High-value loads ($100K–$250K) — An additional fee of $150 applies. The load is matched only with drivers carrying $250,000+ in cargo insurance coverage.
  • Premium loads ($250K–$500K) — An additional fee of $250 applies. Matched only with drivers carrying $500,000+ coverage.
  • Ultra-premium loads ($500K–$1M) — An additional fee of $300 applies. Matched only with drivers carrying $1,000,000+ coverage.
  • Loads over $1M — Contact CloudeFlip directly. Custom arrangements and specialized carriers required.
  • Customer responsibility — The declared value must be accurate. If a customer under-declares value (e.g., declares $50K for a $400K load) and damage occurs, the driver's insurance will only cover up to their policy limit. CloudeFlip is not liable for the difference. Intentional under-declaration to avoid fees may result in account suspension.
  • Driver advisory — Drivers are encouraged to carry $500,000 or higher cargo insurance coverage. Higher coverage means eligibility for more load types, including high-value shipments that pay premium fees. The additional monthly insurance cost (typically $100–$200/month) is often offset by 2–3 high-value loads per month at $150–$300 extra per load.
  • CloudeFlip does not sell insurance — We are not an insurance provider or broker. We match loads with appropriately insured drivers. Customers who need coverage beyond what matched drivers carry must purchase their own third-party cargo insurance independently.

6.22 Accessorial Charges — The following additional fees apply when delivery requires non-standard services beyond basic curb-to-curb transport. These are selected during booking and shown in the price before checkout:

  • Inside delivery — +$75. Driver brings cargo inside the building (past the front door/loading dock). Does not include placement in specific rooms or assembly.
  • Residential delivery — +$50. Deliveries to residential addresses where there is no loading dock, limited parking, or narrow access. Applies automatically when dropoff is detected as residential.
  • Stairs — +$50 per flight. If cargo must be carried up or down stairs (no elevator available). Each flight = one level. Customer must declare stairs during booking.
  • Long carry — +$75 per 50ft beyond 50ft. If the truck cannot park within 50 feet of the delivery point (long driveway, gated community, construction site, etc.).
  • Oversized load — +$200–$500. Items that exceed standard truck dimensions or require special permits, escort vehicles, or route planning. Quoted per load.
  • Team driver required — +$300. Loads requiring two drivers for continuous driving (no rest stops) on time-critical long-haul deliveries. Auto-applied on ASAP/Rush loads over 8 hours drive time.

Accessorial charges are non-refundable once the driver has been dispatched. If a customer selects "no stairs" but the driver arrives and there are stairs, the driver may refuse delivery or quote the stair fee on-site. Customer must pay or accept failed delivery (driver paid in full).

6.23 Return Pickup & Reverse Logistics — Customers may book a return shipment (picking up cargo from a recipient and returning it to the original sender or a different location). The following applies:

  • Booking — Return pickups are booked the same way as standard deliveries. The customer specifies the pickup address (where the item currently is) and the return address (where it needs to go).
  • Pricing — Same per-mile rates and fees as a standard delivery. No discount for returns. All accessorial charges, hold fees, and fuel adjustments apply normally.
  • Condition documentation — The driver will photograph the item at return pickup to document its condition. If the item was damaged before the return pickup, the driver is not liable.
  • Recipient cooperation — The person at the pickup location must release the item to the driver. If they refuse, it is treated as a failed pickup — TONU fee applies and the customer must resolve access independently.
  • Original delivery code does not apply — Return shipments generate a new delivery code. The original delivery's code cannot be reused.

7. Verification & Trust

6.1 Pro Verification — Pros may be required to provide: photo ID, CSLB license, Google Business listing, or city/county business license depending on their trade.

6.2 Verification Limits — Verification confirms identity only. It does not guarantee quality of work, licensing status, or insurance coverage. Customers should independently verify credentials for licensed work.

6.3 Ratings — Users may rate each other after completed projects. Ratings are averages and update periodically. Abuse of the rating system will result in account action.

8. Prohibited Conduct

You agree NOT to:

  • Post fake listings or projects
  • Create multiple accounts to circumvent restrictions
  • Harass, threaten, or abuse other users
  • Share unlocked lead information with third parties
  • Manipulate ratings or reviews
  • Use the platform for illegal activities
  • Scrape data or reverse-engineer the platform

9. Disputes, Strikes & Mutual Ratings

9.1 Strike System — Drivers — Drivers receive strikes for: no-shows (instant suspension), incomplete deliveries, poor quality, safety violations, or verified customer complaints.

9.2 Strike System — Customers — Customers receive strikes for: load mismatches (posting inaccurate cargo info), no-shows at pickup/dropoff, refusing to give code after confirmed delivery, abusive behavior toward drivers, or filing false reports.

9.3 Suspension — 3 strikes = account suspended (drivers or customers). 1 no-show = immediate suspension (drivers). Rating below 3.0 with 5+ reviews = flagged for review. Repeated bad ratings from 3+ different users = suspended.

9.4 Mutual Rating System — Both drivers and customers rate each other after every completed delivery:

  • Customers rate drivers — on professionalism, timeliness, cargo handling, and communication.
  • Drivers rate customers — on load accuracy, communication, facility access, wait times, and professionalism.
  • Ratings below 4 stars require a written explanation (private, only seen by CloudeFlip team).
  • If a driver receives complaints/bad ratings from 3 different customers, the driver is suspended pending review.
  • If a customer receives complaints/bad ratings from 3 different drivers, the customer is flagged and may be suspended.
  • This protects both sides — bad drivers get removed, and bad customers who waste drivers' time or create false claims also get removed.

9.5 No Post-Delivery Disputes for Code-Verified Deliveries — Once the delivery code is entered and verified, the delivery is final. No disputes, claims, chargebacks, or complaints will be accepted for code-verified deliveries. The code is the customer's signature confirming acceptance. If you have an issue, resolve it BEFORE giving the code.

9.6 Dispute Resolution (Non-Delivery Jobs) — For non-delivery services, both parties may submit their account of events. CloudeFlip reviews disputes and makes final decisions at its sole discretion.

10. Limitation of Liability

CloudeFlip is a marketplace platform only. We are NOT liable for:

  • Quality of work performed by Pros
  • Accuracy of listings posted by Customers
  • Property damage, personal injury, or financial loss
  • Disputes between Customers and Pros
  • Loss of business or leads

Maximum liability is limited to the fees you paid to CloudeFlip in the preceding 12 months.

11. Termination

CloudeFlip reserves the right to suspend or terminate any account at any time, with or without cause. Upon termination, unused lead credits are forfeited.

12. Changes to Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be communicated via email.

13. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of San Mateo County, California. By using CloudeFlip, you consent to this jurisdiction.

Binding Arbitration — For disputes under $10,000, both parties agree to binding arbitration rather than court proceedings. This reduces costs for everyone and provides faster resolution.
